Terms of Use & Disclosures

These Terms of Use and Disclosures ("Terms") govern your access to and use of the Aqua Leads mobile application and web dashboard (collectively, the "App"), operated by Aqua Leads (the "Marketing Company," "Company," "we," "us," or "our"). By accessing or using the App, you agree to be bound by these Terms.

1. Nature of the Application

The App operates exclusively as:

• A marketing platform
• A lead generation platform
• A referral tracking platform
• An information management platform

The App is not:

• A contractor
• An inspector
• A service provider
• A brokerage
• A marketplace
• A construction company

The App does not perform inspections, estimate damages, negotiate pricing, select contractors, execute construction work, guarantee project outcomes, or process payments.

2. No Contractor or Agency Relationship

The Marketing Company:

• Is not a licensed contractor
• Does not supervise contractors
• Does not inspect properties
• Does not perform work
• Is not responsible for project execution
• Is not a party to any agreement between a customer and a contractor

All construction-related responsibility — including pricing, scope, execution, quality, permits, licensing, and results — remains solely with the licensed contractor performing the work.

3. User Status

Users act solely as Referral Sources or Introducers. By using the App, you acknowledge that you:

• Provide information only
• Do not negotiate pricing
• Do not select contractors
• Do not guarantee work, outcomes, or availability
• Are not an employee, agent, or contractor of the Marketing Company

The Marketing Company does not employ, retain, or contract with individual users.

4. Eligibility and Access

The App is available solely to individuals who have been granted access by an authorized Aqua Leads administrator. You may not access the App unless you have received valid login credentials from the Company. You must be at least 18 years of age to use this App.

5. Account Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials.
• You may not share your account credentials with any other person.
• You must notify the Company immediately if you suspect unauthorized access to your account.
• All activity that occurs under your account is your responsibility.

6. Permitted Use

You may use the App solely for the following purposes:

• Submitting potential leads for marketing purposes.
• Viewing internal lead status and marketing milestones.
• Responding to informational connection requests.
• Viewing training materials and onboarding videos provided by the Company.
• Submitting support contact requests.

7. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fabricated lead information.
• Attempt to access accounts, data, or systems you are not authorized to use.
• Reverse engineer, decompile, or otherwise attempt to extract the App's source code.
• Use the App for any purpose other than those described in Section 6.
• Share, distribute, or disclose any information obtained through the App to unauthorized third parties.
• Engage in any conduct that interferes with or disrupts the App or its servers.

8. Lead Submission and Tracking

Leads submitted through the App are collected solely for marketing and referral tracking purposes. Displayed statuses may include: Submitted, Qualified, Approved, and Completed.

These statuses represent internal marketing milestones only. They do not create any payment rights or financial entitlement. No monetary amounts, calculations, balances, or earnings are displayed within the App. All leads are subject to review at the sole discretion of the Company, which may accept, decline, or reclassify any submitted lead without obligation to provide a reason.

9. Connection Requests

The App may display connection requests seeking contact information for licensed contractors or subcontractors. These requests are informational only. No pricing, negotiations, contracts, or work commitments occur through the App. Any follow-up communication occurs outside the App, and engagement decisions are made solely by the licensed contractor.

10. Payments & Compensation

The App does not process payments and does not calculate or display compensation. The legal payment framework is as follows:

• Executing contractors pay only the Marketing Company.
• The Marketing Company may engage licensed business entities for separate marketing participation services under independent agreements.
• Individual users never receive payments from the App.
• No percentage-based compensation exists.
• No contractor payments are earmarked for, assigned to, or passed through to any referral source.

11. Appreciation Rewards

The Marketing Company may occasionally provide discretionary, non-cash appreciation items, such as gift cards, meals, merchandise, event tickets, or service credits. These items are:

• Optional and discretionary
• Non-transferable
• Not wages
• Not referral fees
• Not commissions
• Not earned compensation
• Not guaranteed

12. No Guarantee

The App makes no guarantees regarding work availability, project volume, income, compensation, rewards, or business opportunities. Participation in the App does not create an expectation of financial benefit.

13. Legal & Tax Responsibility

Each user is solely responsible for their own tax reporting, business licensing, legal compliance, and employment arrangements. The Marketing Company provides no legal, tax, or financial advice.

14. Communication

The App is not intended for payment discussions. Any compensation or contractual discussions occur entirely outside the App.

15. Confidentiality

All information accessible through the App — including lead data, user profiles, business processes, and client information — is confidential and proprietary to Aqua Leads. You agree to keep all such information strictly confidential and not to disclose it to any third party without prior written authorization from the Company.

16. Intellectual Property

The App, including its design, content, features, and functionality, is owned by Aqua Leads and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App solely as permitted by these Terms. No rights are transferred to you beyond this license.

17. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. The Company does not warrant that the App will be uninterrupted, error-free, or free of harmful components.

18. Limitation of Liability

The Marketing Company is not liable for contractor performance, third-party disputes, payment disagreements, missed business opportunities, or user-submitted inaccuracies. To the maximum extent permitted by applicable law, Aqua Leads shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App. Use of the App is at the user's own risk.

19. Termination

The Company reserves the right to suspend or terminate your access to the App at any time, for any reason, without notice. Upon termination, your right to use the App ceases immediately.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Los Angeles County, California.

21. Changes to These Terms

These Terms may be updated periodically. We will notify users of material changes through the App. Continued use of the App after changes become effective constitutes acceptance of the latest version.

22. User Acknowledgment

By using the App, you acknowledge that:

• You have read and understood these Terms.
• The App is solely a marketing and referral tracking platform.
• No work, payment, compensation, or rewards are guaranteed.
• All construction services are performed exclusively by independent licensed contractors.
